Terms of Service for focalwork.io

Effective Date: August 2, 2026

These Terms of Service ("Terms") govern your access to and use of focalwork.io, including the website at https://www.focalwork.io and the web application (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please also read our Privacy Policy, which explains how we handle information.

1. The Service

focalwork.io is a web application for organizing tasks, projects, and visual boards. Workspace content you create in the app (tasks, boards, media, and related files) is stored in a dedicated folder in your Google Drive. Account and subscription status for plan limits and billing are maintained by us as described in the Privacy Policy.

2. Eligibility and Google Account

  • You must be able to form a binding contract and meet any minimum age required in your jurisdiction (and at least 13 years old).
  • You sign in with a Google account you are authorized to use. You are responsible for activity under your account and for keeping access to that Google account secure.
  • You must comply with Google's terms and policies that apply to your use of Google sign-in and Google Drive.

3. Your Content and Google Drive

  • Ownership: You retain ownership of the content you store in your Google Drive through the Service.
  • Permission: You grant us permission to access and process that content solely as needed to operate the Service for you (for example, reading and writing files in your focalwork.io Drive folder via Google APIs you authorize).
  • Your responsibility: You are responsible for backing up important data. Deleting the focalwork.io folder (or emptying it from trash) can permanently destroy your workspace data. We cannot recover Drive content we do not host.
  • Lawful content: You must not use the Service to store or share content that is illegal, infringing, or that you do not have rights to use.

4. Acceptable Use

You agree not to:

  • Abuse, disrupt, or attempt unauthorized access to the Service, our APIs, or other users' accounts.
  • Reverse engineer or circumvent plan limits, security, or usage restrictions except where law allows.
  • Use the Service to send spam, malware, or harmful automated traffic.
  • Misrepresent your identity or affiliation in a way that harms others or the Service.
  • Use Google user data obtained through the Service in any way that violates the Google API Services User Data Policy.

5. Plans, Fees, and Billing

  • The Service may offer free and paid plans with different limits (for example number of boards). Features and limits may change with notice in the product or on the site.
  • Paid subscriptions are billed through Stripe. By purchasing, you also agree to Stripe's applicable terms for payment processing.
  • Prices, taxes, and billing intervals are shown at checkout. Unless required by law, fees are generally non-refundable once a billing period has started, except where we state otherwise or where Stripe/customer portal options apply.
  • You can manage or cancel a subscription through the in-app customer portal when available. Cancellation typically takes effect at the end of the current billing period unless otherwise stated.
  • If payment fails or a subscription ends, we may reduce your access to paid features or enforce free-tier limits.

6. Intellectual Property

The Service—including its software, design, branding, and documentation—is owned by us or our licensors. These Terms do not grant you rights to our trademarks or to copy the product except as needed to use the Service.

7. Third-Party Services

The Service depends on third parties such as Google (sign-in and Drive) and Stripe (payments), and on hosting providers. Their availability and terms are outside our full control. Outages or changes by those providers may affect the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA IN YOUR GOOGLE DRIVE WILL NEVER BE LOST OR CORRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR FROM DELETION OR LOSS OF DRIVE DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) FIFTY US DOLLARS (US $50).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your misuse of the Service, or your violation of these Terms or applicable law, to the extent permitted by law.

11. Suspension and Termination

You may stop using the Service at any time and may revoke Google access. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

12. Changes to the Service or Terms

We may update the Service and these Terms. Updated Terms will be posted at https://www.focalwork.io/terms with a new effective date. Continued use after changes become effective constitutes acceptance, except where applicable law requires otherwise. If you do not agree, stop using the Service.

13. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence require otherwise. Courts in England and Wales will have non-exclusive jurisdiction, subject to those mandatory protections.
